Payment and refund terms
This is an English translation for convenience. The Russian version is the legally binding one.
Buff Development is a cloud service that does work on code at your request: it answers questions about code, carries out research and project analysis, and develops tasks with the result checked (more on the Product page). The service is provided remotely through a web application; payment is made in advance to the organisation’s balance. The Contractor and its details are on the Contacts page.
This page briefly sets out the payment and refund terms from the User Agreement. In case of any discrepancy, the text of the agreement prevails; the numbers of its clauses are given in brackets.
What is paid for and how
- Work is paid for from the organisation’s balance in roubles and is charged as it is done — in parts, at the price in effect when each part started; on plans through a model provider, if the model was served by another supplier from the provider’s catalogue, at that supplier’s price (clauses 5.1, 5.3 of the agreement).
- The prices and contents of the plans are published on the Pricing page. Prices are in roubles and not subject to VAT: the Contractor applies the simplified taxation system and is exempt from VAT under Article 145 of the Tax Code of the Russian Federation. If the Contractor loses the right to the exemption, from the date of loss prices include VAT, and the organisation’s owner is notified by email no later than 5 business days later (clause 5.2).
- New work is not started when the balance is zero or negative. If work already started cost more than was on the balance, the difference is recorded as a negative balance and paid off from the next top-up; the Contractor does not collect it separately (clause 5.1).
- When the balance is negative, task development and its checking stop, while answers to questions, research, project analysis, preparation of the specification and preparation of development tools that have already started run to completion and are paid in full (clause 5.1).
On dedicated capacity
- In addition, the machine’s running time is charged at the hourly price published for the selected model class or agreed with you on request (clauses 5.4, 2.2) — from the moment it is ready until it is shut down. In permanent mode, time is also charged for idling until the machine is shut down; in dynamic mode, the machine is also shut down after 20 minutes of idling.
- Time spent preparing the machine and time it is unavailable because of a failure is not charged.
- The machine shuts down automatically when the balance is enough for less than an hour of work; from that moment task development also stops, even if the balance is still positive; the forecast is shown in the app (clause 5.4).
- Capacity in the Russian jurisdiction and a separate environment are shut down at your request sent to the address on the Contacts page — within 3 business days, unless a separate contract sets another period. Machine time is not charged from the moment the request is received, and from that same date the capacity is considered shut down for the purpose of refunding the balance (clause 5.4).
Payment methods
- By bank card — in the web application, in the “Billing” section: enter the amount and confirm the payment on the payment provider’s secure page. Card details are entered only on the provider’s page; the Contractor does not receive the full card details (more in the Personal Data Processing Policy). The balance is topped up once the funds arrive; for a card payment this is the moment the provider confirmed the payment (clause 5.2).
- By bank transfer to the Contractor’s details given on the Contacts page, with the organisation identifier in the payment reference. The identifier is your organisation’s name in the web application; it is shown in the heading of the “Billing” section, and on a phone in the list of settings sections. The balance is topped up once the funds arrive (clause 5.2).
- A payment without an identifier cannot be matched to an organisation — write to us from the organisation owner’s email (a legal entity or sole proprietor — also from the address provided for documents), giving the date and amount of the payment.
Payment can be made by a legal entity, a sole proprietor or an individual — including a third party paying on the client’s behalf (clause 3.3).
If a company pays
If a legal entity or sole proprietor pays, send to the address on the Contacts page: the name, TIN (INN), OGRN (OGRNIP), address, and the email address for documents and legally significant notices.
- From where: from an email address in your company’s domain, or from the organisation owner’s email with a power of attorney or a letter signed by an authorised person attached.
- When: at any time — the company becomes the client from the date we receive the details. If the first payment from the company’s account went through earlier, send the details no later than 5 business days after it — then the company is considered the client from the date of the payment.
- If later: until the details are received, the user who registered the organisation remains the client, and the payment is credited as a payment made for them by a third party.
- From the date the details are received, the company becomes the client, the balance and the rights to the results obtained earlier pass to it, and the acts for past months are sent after the details are provided (clause 3.3).
Receipt and closing documents
- For a card payment, and for any payment by an individual, a cash receipt is sent to the payer’s email address; if an individual pays by bank transfer — to the organisation owner’s address (clause 5.2).
- Legal entities and sole proprietors are sent, no later than 5 business days after the end of the month, an act of services rendered (universal transfer document, UPD) for the amount charged during the month minus adjustments to work of the same month — to the email address provided for documents and legally significant notices, or through an electronic document exchange operator. An adjustment to the previous month’s work is issued as a corrective act (corrective universal transfer document, UKD).
- The act is considered accepted if no reasoned objections are received at the address on the Contacts page within 5 business days of the date it was sent; with electronic document exchange, or at the Contractor’s request, the client returns a signed copy within the same 5 business days (clause 5.2).
Stopping work
- Work can be stopped at any time — in the web application, and where there is no such button — by a letter to the address on the Contacts page. The cost of the work done by the moment of stopping is charged (clause 4.2).
- A stopped task can be resumed: finished parts are not recalculated, a part interrupted midway is done and paid for again; if a task is stopped before the specification is approved or while it is being split into parts, preparation of the specification is also done and paid for again (clause 4.2).
- If you are an individual using the service for personal needs, only the Contractor’s actual expenses within that cost are charged; the difference is returned to the balance as a separate “Adjustment” operation, visible in the billing history, within 5 business days of the date of stopping, but no later than 10 calendar days (clause 4.2; clause 5.7 of the agreement, Article 31 of the Consumer Rights Protection Law).
- For individuals using the service for personal needs, the deadline for completing work is no more than 30 days from its start (for task development — from the approval of the specification); the deadline does not include time while the work is waiting for your answer, stopped by you or stopped because of an insufficient balance; rework on findings is done within a new deadline of the same length. If the deadline is exceeded, you may stop the work, and the cost of the unfinished part is returned to the balance (clause 4.2).
Refunds for work
- Work interrupted through no fault of the client (a failure of the service, the infrastructure, the model provider or the model itself, including one you chose) is resumed; the amount for re-running the interrupted part and, if it was needed, for preparing the specification again is returned to the balance without an application within 5 business days after completion (clause 5.8). If the work cannot be resumed or the Contractor discontinues it, the amount charged for it is returned to the balance; if you did not resume it within 30 days or terminated the contract before it was resumed, the amount for the interrupted part is returned upon application.
- The result deviated from the approved specification, the service did not report this in its check, and you stated it in a finding before approval — the cost of developing and checking the part of the specification in which the deviation occurred is returned to the balance (clause 4.3).
- If you are an individual using the service for personal needs, the price shown in the app when the work was started applies to it: anything charged above it is returned to the balance as an adjustment within 5 business days after the work is completed. For all clients: if the chosen model was unavailable and the request was run on the default model, no more than the chosen model’s price is charged; the difference is returned in the same way (clause 5.3).
- In all other cases the cost of work done is not refunded — including when the task could not be completed because of its content, because the project could not be built or the tests could not be reproduced for reasons related to your repository (clause 5.8). Rework on your findings is paid for as new work (clause 4.3).
- For individuals using the service for personal needs, the refund limitations in this section apply to the extent permitted by consumer protection legislation (clause 11.5 of the agreement); adjustments under this section are credited to individuals no later than 10 calendar days from the date of your finding (a deviation from the specification) or of completion of the work, and if the work is not resumed — from the date we informed you of this (other cases) (clause 5.7 of the agreement, Article 31 of the Consumer Rights Protection Law).
Refund of the balance
- The unspent balance is refunded at your request at any time — by the same method by which it was paid in: what was paid by card goes back only to the same card, which is the payment systems’ rule (how long the money takes to arrive after the refund depends on the bank that issued the card); what was paid by transfer goes back to the same account. If a refund by the same method is impossible (the card or account is closed), the refund method is agreed with the Contractor.
- Where to send the application. The application is sent from the organisation owner’s email address (a legal entity or sole proprietor — also from the address provided for documents, signed by an authorised person) to the address on the Contacts page (clauses 5.7, 14.2).
- Deadline — 10 business days, for individuals — 10 calendar days. It runs from the date the application is received; if work is running in the organisation or dedicated capacity is switched on at that moment — from the date you stopped the work and shut down the capacity (clause 5.7).
- A balance paid in by a third party on the client’s behalf is refunded to the account or card from which the payment came (clause 5.7).
- The starting balance credited on registration is not the client’s money. Charges first use up the starting balance, then the money you paid in; the refundable amount is the remainder minus the unspent part of the starting balance (clause 5.6).
- On termination of the contract the balance is refunded by the same rules (clause 12.5). In case of a breach of the terms of use (clause 9.1), the Contractor may withhold documented losses from the balance by sending a calculation; withholding does not apply to individuals using the service for personal needs (clause 9.2).
Questions and claims
Send questions about charges and refunds to the email address on the Contacts page; the history of charges, top-ups and adjustments is visible in the web application in the “Billing” section. The procedure for claims and disputes is in section 13 of the agreement.
